Pyramid Saimira - Launch of 10 Films simultaneously by Pyramid Saimira Group
Pyramid Saimira Theatre Ltd has announced that it will be producing a total of 52 films this year. The Company has already completed 6 films in various languages and more than 7 films are under production in various languages. Apart from the film production, the Company also is engaged in producing content for Television and other modes. It has currently more than three hours of TV content production per day. Towards this, the Company announced the production of the first ten Tamil films this fiscal year, thereby becoming the first production house in the world to commence the production of ten movies on one day. Pyramid Saimira Theatre Ltd has informed BSE that Pyramid Saimira signs Memorandum of Cultural Cooperation with CSMRB, Ministry of Culture, Government of People's Republic of China and also a Joint Venture Agreement with Longzhe Group - forms a new JV "Jiangsu Pyramid Longzhe Group""Pyramid Saimira Theatre Ltd (PSTL) has now entered the Chinese market. The China Society of Music Research Board (CSMRB), Ministry of Culture, Government of People's Republic of China and India's Pyramid Saimira Theatre Ltd (PSTL) have signed an Arts & Cultural cooperation agreement by which CSMRB and PSTL will take many measures to promote cultural cooperation between India & China. PSTL will bring cultural specialist in the field of Arts, Film, TV, Music & Dance. Pyramid Saimira Theatre Ltd has informed BSE that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on March 14, 2008, inter alia, to transact the following:
1. To issue, offer and allot, in international offerings any securities including Foreign Currency Convertible Bonds (FCCBs), Global Depositary Receipts and / or American Depository Receipts convertible into equity shares, preference shares whether Cumulative / Redeemable / Convertible at the option of the Company and / or the option of the holders of the security and / or securities linked to equity shares / preference shares and / or any instrument or securities representing convertible securities such as convertible debentures, bonds or warrants convertible into depository receipts underlying equity shares/ equity shares / preference shores, ("Securities") to be subscribed by foreign investors / Institutions and / or corporate bodies/entities including mutual funds, banks, insurance companies and / or individuals or otherwise, whether or not such persons/entities/investors are Members of the Company whether in one or more currency, such issue and allotment to be made at such time or times in one or more tranche or tranches, at par or at such price or prices, and on such terms and conditions and in such manner as the Board may, in its absolute discretion think fit upto US$ 400.00 Million, in consultation with the Lead Managers, Underwriters, Advisors or other intermediaries, subject to necessary provisions & approvals.
2। For borrowing for and on behalf of the Company, including Foreign Currency Loan(s) / loan from Foreign Lender(s) from time to time, any sum or sums of n notwithstanding that the moneys to be borrowed together with the moneys already borrowed by the Company (apart from temporary loans obtained or to be obtained from the Company's Bankers in the ordinary course of business) will or may exceed the aggregate for the time being of the paid-up capital of the Company and its free reserves, that is to reserves not set apart for any specific purpose, but so that total amount upto which moneys to be so borrowed under the said clause (d) of sub-section (1) of section 293 shall not at any time exceed Rs 3,000 Crores (Rupees three thousand Crores).
3। For mortgaging and / or charging the whole or substantially the whole of the Company's undertaking(s) or any part thereof including present and future properties whether movable or immovable to or in favour of any Financial institution(s), Bodies or Fund(s) and other Lending Institution(s) and for securing any domestic or Foreign Currency Loan(s) or other Financial assistance lent, granted and advanced to the Company provided that total amount so secured at any point of time shall not exceed Rs 2500 Crores.
4। For commencing the business as owners of restaurants, hotels, refreshments and tea rooms, cakes, milk and snack bars, ice-cream bars, beer house and lodging house keepers, wine, beer and spirit merchants, brewers, moisters, distillers, importers and manufactures of aerated, mineral and artificial waters, other drinks and ice-creams and as caterers and contractors in oil their respective branches as detailed in Para (12) of Sub-clause (C) of Clause II of Memorandum of Association of the Company.
5. To invest as they may, in their absolute discretion deem beneficial and in the interest of the Company, upto an aggregate sum of Rs 300.00 crores (Rupees three hundred crores only) in the equity share capital of one or more Companies as detailed below notwithstanding that the aggregate of the loans and investments so for made, the amount for which guarantee or security so far provided to or in all other bodies corporate, along with investments to be made exceeds sixty percent of its paid-up capitol and free reserves, or hundred per cant of it's free reserves, whichever is more:

To issue, offer and allot, in international offerings any securities including Foreign Currency Convertible Bonds (FCCBs), Global Depositary Receipts and / or American Depository Receipts convertible into equity shares, preference shares whether Cumulative / Redeemable / Convertible at the option of the Company and / or the option of the holders of the security and / or securities linked to equity shares / preference shares and / or any instrument or securities representing convertible securities such as convertible debentures, bonds or warrants convertible into depository receipts underlying equity shares/ equity shares / preference shores, ("Securities") to be subscribed by foreign investors / Institutions and / or corporate bodies/entities including mutual funds, banks, insurance companies and / or individuals or otherwise, whether or not such persons/entities/investors are Members of the Company whether in one or more currency, such issue and allotment to be made at such time or times in one or more tranche or tranches, at par or at such price or prices, and on such terms and conditions and in such manner as the Board may, in its absolute discretion think fit upto US$ 400.00 Million, in consultation with the Lead Managers, Underwriters, Advisors or other intermediaries, subject to necessary provisions & approvals.
2। For borrowing for and on behalf of the Company, including Foreign Currency Loan(s) / loan from Foreign Lender(s) from time to time, any sum or sums of n notwithstanding that the moneys to be borrowed together with the moneys already borrowed by the Company (apart from temporary loans obtained or to be obtained from the Company's Bankers in the ordinary course of business) will or may exceed the aggregate for the time being of the paid-up capital of the Company and its free reserves, that is to reserves not set apart for any specific purpose, but so that total amount upto which moneys to be so borrowed under the said clause (d) of sub-section (1) of section 293 shall not at any time exceed Rs 3,000 Crores (Rupees three thousand Crores).
3। For mortgaging and / or charging the whole or substantially the whole of the Company's undertaking(s) or any part thereof including present and future properties whether movable or immovable to or in favour of any Financial institution(s), Bodies or Fund(s) and other Lending Institution(s) and for securing any domestic or Foreign Currency Loan(s) or other Financial assistance lent, granted and advanced to the Company provided that total amount so secured at any point of time shall not exceed Rs 2500 Crores.
4। For commencing the business as owners of restaurants, hotels, refreshments and tea rooms, cakes, milk and snack bars, ice-cream bars, beer house and lodging house keepers, wine, beer and spirit merchants, brewers, moisters, distillers, importers and manufactures of aerated, mineral and artificial waters, other drinks and ice-creams and as caterers and contractors in oil their respective branches as detailed in Para (12) of Sub-clause (C) of Clause II of Memorandum of Association of the Company.

The 3-screen multiplex is housed in SLF mail at Indraprastha Colony. This will be the first of the many multiplexes that the Company plans to inaugurate in the National Capital Region. Leading entertainment company Pyramid Saimira has announced that it will produce 52 films this fiscal.The company has already completed six films in different languages and seven movies are presently under production.Apart from films, Pyramid also produces content for TV as well as othermodes. Pyramid Saimira: Aiming for perfect ten
(Courtesy: Indiaglitz)Pyramid Saimira, the multi-national entertainment company, will produce ten films simultaneously. The movies will hit the floors at a grand function in Chennai on Saturday. Pyramid Saimira, which owns over 100 theatres, has distributed several Tamil films in both India and abroad.
The 10 films will be launched in Chennai in the midst of who's who of the industry including N Narayanan, director, Pyramid Saimira, Rama Narayanan, president, Tamil Film Producers Council, KRG, president, South India Film Chamber of Commerce, Sarath Kumar, president, South Indian Film Artistes Association, S A Chandrasekhar, president, Directors Association, Fefsi Vijayan, president, FEFSI.
The ten projects include a movie to be produced on behalf of Motherland Pictures (directed by Krishna), Deivanai Movie Makers (directed by A Jayaprakash), Meenakshi Arts (directed by S P Rajkumar), Raj Films International (directed by Vishnu Shankaran), Vijaya Movies ('Dhaya' Senthil), Sri Nachiyar Amman Films (Azhagan Thamilmani), Malar Films (Rathnakumar), KRP productions (Manoj Kumar), B R R Art Enterprises (Radha Ravi) and Chinmaya Combines (Praveen Kanth).

Pyramid Saimira to open 2,000 movie screens across India by 2010

By Nayanima Basu, Mumbai, March 28: Indian entertainment major Pyramid Saimira Group is planning to open a total of 2,000 movie screens, a mix of multiplex and individual ones, across India by 2010. It has also made a foray into the Chinese entertainment industry, the fastest growing in the world.
The Chennai-based company, which controls about 60-65 percent of the south Indian film market, is planning to increase its presence in the exhibition space mainly in northern India while further consolidating its position in the south."We are planning to open 800 screens across the entire north India, out of which 500 would be multiplexes and 300 individual screens," P.S. Saminathan, managing director of Pyramid Saimira Theatre Ltd, told IANS here."We may also look into buying some and converting them into multiplexes," he said, adding that the company plans to open a total 2,000 screens by 2010."The remaining 1,200 would be in various corners of southern India."For this the company has earmarked about Rs.4-4.5 billion to be invested in phases. It also plans to achieve a turnover of Rs.7-8 billion in the current fiscal year of 2007-08, up from Rs.1 billion in 2006-07."For our multiplexes we will be mostly focusing on tier-II and tier-III cities as there is less competition and more management skills are required," he added.The company forayed into the Chinese entertainment and media industry last week for exhibition, distribution and production businesses."We are probably the only private sector company to operate there. It is the fastest growing entertainment industry in the world. We intend to set up the infrastructure there, create local content and look at other activities," Saminathan said."The China market is an extremely regulated one but is infested with piracy. But there is less of competition for us and we have the government's support so I am sure it will turn out to be a good business proposition."The group also bagged a satellite broadcasting deal with Britain-based Spize TV to venture into the broadcasting sector."With Spize TV agreement coupled with the Chinese foray, we plan to introduce 100 channels in the next one year," he said. Pyramid Saimira Theatre Limited brings D-War to India this summer
Mumbai, March 27, 2008: Pyramid Saimira Theatre Limited recently acquired all India rights (except for Tamil Nadu and Andhra Pradesh) for releasing D-War, a Korean film by Director / Writer Hyung-rae Shim.
